1. Acceptance of Terms

2. Eligibility

You must (a) be at least 18 years of age, (b) have full power and authority to enter into these Terms, and (c) not be prohibited from using the Service under any applicable law.

3. Your Account

At the time of registration, you must provide accurate and current information and keep it up to date. You are responsible for all activity that occurs under your credentials. Notify us immediately of any unauthorized use.

4. Subscriptions, Fees and Billing

1. Pricing. The Service is offered on a subscription basis at $19.90 per month ("Subscription Fee") after a 5-day free trial.
2. Automatic Renewal. Unless you cancel, your subscription automatically renews and the Subscription Fee is charged to your payment method each billing cycle.
3. Payment Processor. Payments are handled by Stripe, Inc. and we never store full card numbers.
4. Cancellation. Cancel at any time through the billing portal link we provide or by sending the /cancel command in the bot. Cancellation stops future charges but does not retroactively refund fees already paid; access continues until the end of the current paid period.
5. Refunds. Except as required by law, all payments are non-refundable once the billing period begins.
6. Changes in Price or Service. We may change rates or features with at least 14 days notice by email. Continued use after the effective date constitutes acceptance.

5. License Grant

DropBrief grants you a limited, non-exclusive, non-transferable license to access and use the Service for your own internal business purposes. DropBrief reserves all rights not expressly granted.

6. Acceptable Use

You may NOT

• •reverse engineer, scrape or attempt to extract source code or databases;
• •resell, sublicense or redistribute data or content obtained through the Service;
• •use automation or bots (other than our own) to access the Service;
• •upload, transmit or share content that is illegal, defamatory or infringes the rights of any third party
• •violate any applicable law or regulation, including CAN-SPAM or GDPR, when using our links or data.

We reserve the right to suspend or terminate accounts that violate this section.

7. User Content

If you provide suggestions, comments or upload content ("User Content"), you grant DropBrief a perpetual, irrevocable, royalty-free license to use, reproduce and display such User Content to operate and improve the Service.

8. Third Party Services and Links

Briefs may contain links to AliExpress, Meta Ad Library, TikTok Creative Center or other external websites. DropBrief is not responsible for the content or practices of third party sites. Your dealings with third parties are solely between you and the third party.

9. Disclaimer of Liability

The Service and all content is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied. We do not guarantee the accuracy, completeness or cost-effectiveness of any product or advertising suggestion. You assume all responsibility for any decisions made using the Service.

10. Limitation of Liability

To the maximum extent permitted by law, DropBrief's aggregate liability for any claim arising out of or related to the Service shall not exceed (i) the greater of (i) $100.00 USD or (ii) the total of the Subscription Fees paid by you to DropBrief in the twelve months prior to the claim. In no event will DropBrief be liable for indirect, incidental, special, consequential or punitive damages, including lost profits.

11. Indemnification

You agree to defend, indemnify and hold DropBrief, its officers, directors, employees and agents harmless from any claim, damage or expense arising out of (a) your use of the Service, (b) your breach of these Terms or (c) your violation of any law or third party right.

12. Governing Law and Dispute Resolution

• •Governing Law. These Terms are governed by the laws of the State of Wyoming, without regard to principles of conflict of laws.
• •Arbitration. Any dispute shall be finally resolved by binding arbitration administered by JAMS under its Streamlined Arbitration Rules. The seat and place of arbitration shall be Sheridan County, Wyoming.
• •Waiver of Class Claims. All claims must be brought individually. You and DropBrief waive any right to participate in a class or representative action.

13. Termination

We may suspend or terminate your access to the Service at any time for breach of these Terms or for any reason upon 30 days' notice. Sections 5-12 survive termination.

14. Modification of Terms

We may update these Terms. Material changes will be effective 14 days after we post the revised Terms and notify active Users by email. Continued use after the effective date constitutes acceptance.

15. Entire Agreement

These Terms, together with the Privacy Policy and any supplemental agreements, constitute the entire agreement between you and DropBrief regarding the Service and supersede all prior agreements.
